TERMS AND CONDITIONS OF SERVICE

IMPORTANT LEGAL NOTICE: PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE DOWNLOADING, INSTALLING, OR USING KAIROVEL. BY ACCESSING OR USING THE SERVICE IN ANY MANNER, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE ALL USE OF THE SERVICE.

1. AGREEMENT TO TERMS
These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", "your") and Kairovel ("Company", "we", "us", "our") governing your access to and use of the Kairovel desktop application, website located at kairovel.com, and all related services, features, content, and functionality (collectively, the "Service").
By downloading, installing, registering for, accessing, or using the Service in any manner, you represent and warrant that: (a) you have read and understood these Terms; (b) you are of legal age to form a binding contract; and (c) you have the legal authority and capacity to enter into this Agreement, either on your own behalf or on behalf of an organization. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
YOUR CONTINUED USE OF THE SERVICE FOLLOWING THE POSTING OF ANY CHANGES TO THESE TERMS CONSTITUTES YOUR ACCEPTANCE OF THOSE CHANGES. If you do not agree to the revised Terms, you must immediately stop using the Service.

2. DESCRIPTION OF SERVICE
Kairovel is an AI-powered real-time desktop copilot application designed to assist individual users during live digital activities, including but not limited to: professional meetings, job interviews, online learning sessions, productivity workflows, and other computer-based tasks.
The Service may include the following features, which are subject to change, modification, addition, or removal at any time at our sole discretion:
• Real-time AI assistance and contextual responses during live sessions
• Microphone audio capture, processing, and transcription
• Screen content analysis and context understanding
• Automated generation of meeting summaries, detailed notes, and action items
• Session recording, storage, and searchable knowledge base functionality
• Personal AI second brain and memory system
• Document and file upload for contextual AI processing
• AI-powered question answering and intelligent suggestions

We reserve the right to modify, suspend, discontinue, or enhance any aspect of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. ELIGIBILITY AND ACCOUNT REGISTRATION
3.1 Eligibility Requirements
To use the Service, you must: (a) be at least eighteen (18) years of age; (b) have the legal capacity to enter into a binding contract under applicable law; (c) not be prohibited from using the Service under any applicable laws; and (d) not have previously been suspended or removed from the Service.
3.2 Account Creation
Certain features of the Service require account registration. When creating an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to immediately notify Kairovel of any unauthorized use of your account or any other security breach.
3.3 Account Security
You acknowledge that you are solely responsible for maintaining the security of your account. Kairovel shall not be liable for any loss or damage resulting from your failure to comply with these security obligations. We reserve the right to terminate accounts, remove or edit content, or cancel subscriptions at our sole discretion.

4. ACCEPTABLE USE POLICY
4.1 Permitted Uses
You may use the Service for any lawful personal or professional productivity purpose in accordance with these Terms. Kairovel is a neutral productivity tool and does not restrict legitimate use cases. The Service is intended for individual use and personal productivity enhancement across any context where you have determined it is appropriate for you to use.
4.2 Prohibited Conduct
You expressly agree that you will NOT use the Service to:
• Violate any applicable local, state, national, or international law or regulation
• Record, transcribe, or analyze conversations without the knowledge and consent of all participants as required by applicable law
• Infringe upon the intellectual property rights, privacy rights, or other legal rights of any third party
• Transmit any unsolicited or unauthorized advertising, promotional materials, spam, or any other form of solicitation
• Upload, transmit, or distribute any viruses, malware, or other harmful computer code
• Attempt to gain unauthorized access to any portion of the Service or any related systems
• Use the Service to generate harmful, abusive, fraudulent, defamatory, or unlawful content
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Use automated systems, bots, scrapers, or other means to access the Service in ways that exceed reasonable human usage
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
• Resell, redistribute, or sublicense access to the Service without prior written authorization
• Use the Service in any manner that could disable, overburden, damage, or impair the Service

Kairovel reserves the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision, including reporting such conduct to law enforcement authorities.

5. USER RESPONSIBILITY AND THIRD-PARTY POLICY COMPLIANCE
Your Responsibility: Kairovel is a general-purpose AI productivity tool. How you choose to use it is entirely your responsibility. You are solely responsible for ensuring your use of the Service complies with any rules, policies, codes of conduct, or regulations that apply to your specific context — whether professional, academic, or otherwise.

5.1 Nature of the Service
Kairovel is a personal AI productivity assistant designed to help individuals work smarter, capture information in real time, and access intelligent assistance during any digital activity. The Service is a neutral productivity tool, similar in nature to a notepad, calculator, or voice recorder. Kairovel does not dictate, monitor, or take a position on the specific contexts in which users choose to deploy it.
Kairovel provides real-time AI assistance that users may apply across a wide range of personal and professional scenarios including but not limited to: professional meetings, learning sessions, research, interview preparation, coding assistance, note-taking, and general productivity workflows.
5.2 User Sole Responsibility for Contextual Compliance
YOU ARE SOLELY AND EXCLUSIVELY RESPONSIBLE for determining whether your use of the Service is permitted under any third-party rules, institutional policies, employer guidelines, professional codes of conduct, examination regulations, or any other rules that govern your specific activity or context.
Kairovel makes no representation, warranty, or determination about whether the use of AI assistance tools is permitted or prohibited in any particular context. It is your responsibility alone to:
• Review and comply with the policies of any institution, employer, platform, or organization whose rules may apply to your activity
• Determine whether the use of AI productivity tools is authorized or unauthorized in your specific situation
• Obtain any necessary consent or authorization from relevant parties before using the Service in contexts governed by third-party rules
• Comply with all applicable professional codes of conduct, institutional policies, and employment agreements that may restrict or permit tool usage
• Accept full and sole responsibility for any consequences arising from your decision to use the Service in any particular context
5.3 Kairovel's Position on User Conduct
Kairovel is a tool. Like any tool — a search engine, a calculator, a voice recorder, or a word processor — its appropriateness in any given context is determined entirely by the rules of that context, not by the tool itself. Kairovel does not monitor, audit, or police the specific contexts in which users deploy the Service. Kairovel has no ability to determine whether any given use is consistent or inconsistent with third-party rules applicable to the user's context.
KAIROVEL EXPRESSLY DISCLAIMS ALL RESPONSIBILITY AND LIABILITY for any consequences — including disciplinary action, termination of employment, academic sanctions, reputational harm, or legal consequences — arising from a user's choice to use the Service in a manner that violates third-party policies, institutional rules, or employer guidelines applicable to them. The determination of what is appropriate in your context is yours alone.
5.4 Indemnification for Contextual Use
You agree to fully indemnify, defend, and hold harmless Kairovel and its officers, directors, employees, and agents from and against any and all claims, damages, penalties, sanctions, or costs (including legal fees) arising from or related to your use of the Service in violation of any third-party policy, institutional rule, employer guideline, professional regulation, or applicable law. Kairovel shall bear no liability whatsoever for the consequences of how you choose to use the Service.

6. RECORDING CONSENT AND LEGAL COMPLIANCE
5.1 Your Responsibility for Recording Compliance
YOU BEAR SOLE AND EXCLUSIVE RESPONSIBILITY for ensuring that your use of Kairovel's audio capture, transcription, and recording features complies with all applicable laws, including without limitation wiretapping laws, electronic surveillance laws, privacy laws, and any other laws governing the recording of conversations.
5.2 Consent Requirements
Recording and transcription laws vary significantly by jurisdiction. Many jurisdictions require the consent of all parties to a conversation before it may be recorded ("all-party consent" or "two-party consent" jurisdictions). You are solely responsible for:
• Determining what consent requirements apply in your jurisdiction and the jurisdiction of all participants
• Obtaining all necessary consents before activating audio capture features
• Informing all participants that the conversation may be recorded or transcribed
• Complying with any applicable notification requirements

KAIROVEL EXPRESSLY DISCLAIMS ALL LIABILITY for any failure on your part to comply with applicable recording consent laws. Your use of the audio capture features constitutes your representation and warranty that you have obtained all necessary consents and are in compliance with all applicable laws.

7. AI-GENERATED CONTENT AND DISCLAIMER
6.1 Nature of AI Outputs
The Service utilizes artificial intelligence and machine learning technologies to generate responses, summaries, transcriptions, notes, and other content ("AI-Generated Content"). You acknowledge and agree that:
• AI-Generated Content may contain errors, inaccuracies, omissions, or outdated information
• AI-Generated Content is provided for informational and productivity purposes only
• AI-Generated Content does not constitute professional advice of any kind
• The quality and accuracy of AI-Generated Content may vary significantly based on input quality, context, and other factors
6.2 No Professional Advice
NOTHING IN THE AI-GENERATED CONTENT CONSTITUTES MEDICAL, LEGAL, FINANCIAL, EMPLOYMENT, PSYCHOLOGICAL, OR ANY OTHER FORM OF PROFESSIONAL ADVICE. You should not make important personal, professional, medical, legal, financial, or other decisions based solely or primarily on AI-Generated Content. Always consult qualified professionals for advice specific to your situation.
6.3 User Verification Responsibility
You are solely responsible for evaluating, verifying, and determining the accuracy, completeness, and suitability of any AI-Generated Content for your intended use. Kairovel shall not be liable for any decisions made or actions taken based on AI-Generated Content.

8. AUDIO, SCREEN, AND DATA PROCESSING
7.1 Microphone and Audio Processing
When you activate the microphone feature, Kairovel will capture and process audio from your device's microphone. Audio processing occurs for the purpose of providing transcription, summarization, and contextual AI assistance. You represent and warrant that you have the legal right to capture and process all audio captured through your use of the Service.
7.2 Screen Context Processing
When you activate screen context features, Kairovel may analyze visible content on your screen to provide contextually relevant AI assistance. Screen processing occurs only when explicitly activated by you. You are responsible for ensuring that any content visible on your screen that is processed by the Service does not violate the confidentiality, privacy, or intellectual property rights of any third party.
7.3 Data Processing Location
Audio, screen content, and other data may be transmitted to and processed on remote servers operated by Kairovel or its third-party service providers. By using these features, you consent to such transmission and processing.

9. USER CONTENT AND INTELLECTUAL PROPERTY
8.1 Your Content
You retain all ownership rights in and to any content, documents, files, or materials you upload or submit to the Service ("User Content"). By uploading User Content, you grant Kairovel a limited, non-exclusive, royalty-free, worldwide license to access, process, store, and use your User Content solely for the purpose of providing the Service to you.
8.2 Kairovel Intellectual Property
The Service, including its software, algorithms, user interface, design, branding, trademarks, logos, and all related technology, is and shall remain the exclusive property of Kairovel and its licensors. These Terms do not grant you any rights to use Kairovel's trademarks, logos, domain names, or other distinctive brand features without our prior written consent.
8.3 Restrictions
You may not: (a) copy, modify, or create derivative works of the Service; (b) reverse engineer or attempt to extract the source code of the Service; (c) sell, resell, transfer, assign, or sublicense the Service; (d) remove any proprietary notices from the Service; or (e) use the Service to build a competing product.

10. SUBSCRIPTION, PAYMENT, AND BILLING
9.1 Subscription Plans
Kairovel may offer various subscription tiers with different features and pricing. Current pricing and plan details are available on our website. We reserve the right to modify pricing and plans at any time, with reasonable notice provided to existing subscribers.
9.2 Billing and Automatic Renewal
Paid subscriptions automatically renew at the end of each billing period unless cancelled. By providing payment information, you authorize Kairovel to charge the applicable subscription fees to your payment method on a recurring basis. You are responsible for keeping your payment information current and accurate.
9.3 Refund Policy — All Sales Are Final
ALL PURCHASES, SUBSCRIPTION FEES, AND PAYMENTS MADE TO KAIROVEL ARE FINAL AND NON-REFUNDABLE. By completing a purchase or initiating a subscription, you expressly acknowledge and agree that:
• All sales are final. No refunds will be issued under any circumstances, including but not limited to dissatisfaction with the Service, accidental purchases, or failure to cancel before a renewal date
• Subscription fees are charged in advance and are non-refundable for any unused portion of a billing period
• Kairovel does not offer partial refunds, pro-rated refunds, or credits for unused subscription time
• Cancellation of a subscription stops future billing but does not entitle you to a refund of any amounts already charged

The only exception to this policy is where a refund is required by mandatory applicable consumer protection law in your jurisdiction that cannot be contractually waived. 9.4 Price Changes
We reserve the right to change subscription prices at any time. We will provide at least thirty (30) days notice of any price increases to existing subscribers. Continued use of the Service after a price change constitutes your acceptance of the new pricing.

11. DISCLAIMERS AND LIMITATION OF LIABILITY
10.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. KAIROVEL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
10.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KAIROVEL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR OTHER INTANGIBLE LOSSES, EVEN IF KAIROVEL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL KAIROVEL'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO KAIROVEL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS (USD $100.00).
10.3 Essential Basis
The disclaimers and limitations of liability in these Terms reflect a reasonable allocation of risk and form an essential basis of the bargain between you and Kairovel. Kairovel would not be able to provide the Service on an economically feasible basis without these limitations.

12. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Kairovel and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Service; (c) your User Content; (d) your violation of any third-party rights; (e) your violation of any applicable law or regulation; or (f) any claim that your use of the Service caused damage to a third party.

13. THIRD-PARTY SERVICES AND INTEGRATIONS
The Service may integrate with or rely upon third-party services, including AI model providers, cloud infrastructure, transcription services, and payment processors. These third parties maintain their own terms of service and privacy policies, and your use of such services is governed by their respective terms. Kairovel is not responsible for the availability, accuracy, or reliability of any third-party services.

14. SERVICE AVAILABILITY AND MODIFICATIONS
Kairovel does not guarantee that the Service will be available at all times. The Service may be subject to scheduled or unscheduled downtime for maintenance, updates, or circumstances beyond our reasonable control. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice, and without liability to you.
WE RESERVE THE RIGHT TO CHANGE THESE TERMS AT ANY TIME AND FOR ANY REASON. WHEN WE MAKE MATERIAL CHANGES, WE WILL UPDATE THE "EFFECTIVE DATE" AT THE TOP OF THESE TERMS AND MAY NOTIFY YOU VIA EMAIL OR THROUGH THE SERVICE. YOUR CONTINUED USE OF THE SERVICE AFTER CHANGES ARE POSTED CONSTITUTES YOUR ACCEPTANCE OF THE REVISED TERMS. IT IS YOUR RESPONSIBILITY TO REVIEW THESE TERMS PERIODICALLY.

15. TERMINATION
Either party may terminate this Agreement at any time. You may terminate by discontinuing use of the Service and deleting your account. Kairovel may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.
Upon termination: (a) your right to use the Service immediately ceases; (b) we may delete your account data subject to our data retention policies; and (c) provisions that by their nature should survive termination shall survive, including Sections 6, 8, 10, 11, and 15.

16. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be subject to binding arbitration, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.

17. GENERAL PROVISIONS
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kairovel regarding the Service and supersede all prior agreements and understandings.
16.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
16.3 Waiver
Failure by Kairovel to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision.
16.4 Assignment
You may not assign or transfer your rights under these Terms without our prior written consent. Kairovel may assign its rights and obligations under these Terms without restriction.
